Terms & Conditions (Terms of Service)

These Terms of Service (“Terms”) govern access to and use of the EnrichDirectory website, applications, and services (collectively, the “Service”) operated by Cloud Ship LLC, a California limited liability company (“Cloud Ship,” “we,” “us,” or “our”).

By creating an account, purchasing a plan/pass, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement.

2) The Service

The Service provides tools that help you enrich location datasets by analyzing publicly available information and customer-provided inputs. Current features may include, for example:

  • Review Enricher (review-based enrichment workflows)
  • Description Generator (LLM-based processing of your data)

We may add, remove, modify, or discontinue features at any time.

3) Important Notice About Third-Party Platforms

The Service may depend on third-party platforms and data sources (including Google Maps and other sites) that are outside our control and may change, restrict access, or block automated collection at any time. As a result:

  • We do not guarantee continuous availability of any specific data source or workflow.
  • We may change how the Service works (including credit consumption and supported workflows) to comply with technical, legal, or operational constraints.

We are not affiliated with, endorsed by, or sponsored by Google (or other third parties).

4) Accounts

You are responsible for maintaining the confidentiality of your account and credentials and for all activity under your account.

One-person account use. Your account is intended for use by one individual. You may not share credentials.

Concurrency limits. You agree you will not attempt to run more than one Service workflow at a time on a single account (i.e., one active instance at a time), and you will comply with any technical rate limits we enforce.

5) Purchases: 14-Day Usage Passes and Credits

5.1 What you are buying

When you purchase a “credit package” (e.g., “1,250 Review Credits”), you are purchasing a time-limited usage entitlement (a “Usage Pass”).

Each Usage Pass includes:

  1. A Pass Term of 14 days, starting immediately at the time of purchase; and
  2. A Usage Allowance measured in credits (the “Credits”) that may be used only during that Pass Term.

Credits are a unit of measurement for Service usage. Credits are not money, have no cash value, are not a bank or stored-value account, and are not redeemable or exchangeable for cash.

5.2 Expiration (14 days)

Your Usage Pass expires 14 days after purchase. Any unused Credits included in the Usage Pass expire at the end of the Pass Term and are forfeited. After expiration, unused Credits are not usable on any part of the Service.

5.3 No carryover; no transfer

Credits included in a Usage Pass:

  • do not roll over into future passes;
  • are non-transferable (you may not transfer, sell, assign, or gift Credits); and
  • may only be used by the account that purchased them.

5.4 Credit consumption may change

The number of Credits required for a given workflow may vary based on factors such as input size, selected options, and system changes.

For fairness and clarity: for each purchased Usage Pass, we will apply the credit-consumption rules as displayed to you at the time you initiate a run during that pass, unless we must change them immediately for security, legal compliance, or to prevent abuse.

5.5 Free credits

We may offer free credits (e.g., signup credits). Free credits are promotional, may be changed or removed at any time, and may have different rules and expiration than paid Usage Pass credits.

6) Pricing, Taxes, and Payments

Prices are shown at checkout and are subject to change. Payments are processed by Stripe and may be subject to Stripe’s terms.

You are responsible for any taxes, duties, or similar governmental assessments associated with your purchase, where applicable.

7) Refund Policy; Service Failure Remedy

7.1 No refunds (general rule)

All sales are final. We do not offer refunds, returns, credits, or exchanges, except as expressly described in these Terms or as required by applicable law.

7.2 Limited remedy if the entire Service is unusable

If all services on the website are completely unusable for you during your Pass Term due to a platform-wide outage attributable to us (a “Total Service Outage”), you may request a refund for the unused portion of your Usage Pass, subject to all conditions below:

  • You must email enrichdirectory@gmail.com within 14 days after your Usage Pass expires with (a) your account email, (b) purchase receipt, and (c) a description of the outage and dates impacted.
  • If approved, your refund will be prorated based on unused Credits in the affected Usage Pass, calculated as:
    Refund = Amount Paid × (Unused Credits ÷ Purchased Credits)
  • We may deny requests that involve abuse, fraud, chargeback activity, or inability to verify the outage.
  • This Section states your sole and exclusive remedy for a Total Service Outage.

8) Acceptable Use

You agree not to:

  • Use the Service to violate any law, regulation, or third-party rights.
  • Circumvent or attempt to circumvent access controls, rate limits, or technical restrictions.
  • Use the Service in a way that could damage, disable, overburden, or impair the Service.
  • Reverse engineer, scrape the Service itself, or attempt to extract source code or non-public methods.

You represent and warrant that you have all rights necessary to upload your input data (e.g., CSVs, search queries) and to use the outputs for your intended purpose.

9) Intellectual Property

We and our licensors own all rights in the Service, including software, design, and trademarks (excluding your input data). Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service.

10) Data Handling (high level)

We process inputs you provide (e.g., CSVs and queries) to produce outputs. You acknowledge:

  • We may use third-party subprocessors to deliver the Service (including LLM providers such as OpenAI, Anthropic, and Google).
  • We do not promise that outputs are error-free, complete, or suitable for any specific purpose.

11) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any particular data source will remain accessible.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • CLOUD SHIP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
  • CLOUD SHIP’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO CLOUD SHIP FOR THE SPECIFIC USAGE PASS GIVING RISE TO THE CLAIM.

13) Indemnification

You agree to indemnify and hold harmless Cloud Ship LLC from and against any third-party claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your inputs, your outputs, or your violation of these Terms or applicable law.

14) Suspension and Termination

We may suspend or terminate your access immediately if we believe you violated these Terms, engaged in fraud or abuse, or created risk for the Service or other users.

Upon termination, your right to use the Service ends. Except where required by law, no refunds are provided.

15) Dispute Resolution; Governing Law; Venue

These Terms are governed by the laws of the State of California, excluding its conflict-of-laws rules.

Informal resolution first. Before filing any claim, you agree to contact us at enrichdirectory@gmail.com and allow 30 days to attempt to resolve the dispute informally.

Venue. If a dispute is not resolved informally, you agree that claims will be brought in the state or federal courts located in San Mateo County, California, and you consent to personal jurisdiction there.

16) Changes to the Terms

We may update these Terms from time to time. The “Last Updated” date reflects the effective date. Continued use of the Service after changes means you accept the updated Terms.
